Terms and Conditions for Rank and Rent Service

1. Introduction

These Terms and Conditions govern the use of the Rank and Rent service (“Service”) provided by FIZZ designs & SEO (“Provider,” “we,” “us,” or “our”) to businesses (“Client,” “you,” or “your”) who wish to rent and benefit from websites owned and managed by us. By engaging our Service, you agree to be bound by these Terms and Conditions.

2. Service Description

2.1 Rank and Rent Model: Our Service involves creating, optimizing, and ranking websites for specific niches or local markets. These websites are rented to Clients who receive exclusive access to the leads and traffic generated by the sites.

2.2 Scope of Service: The Service includes:

• Access to a pre-ranked website in a niche or local market relevant to the Client’s business.
• Regular updates and optimization of the website to maintain or improve its search engine ranking.
• Lead generation and delivery based on traffic directed to the website.

2.3 Exclusions: The Service does not include the following unless otherwise agreed upon in writing:

• Any changes or customizations to the website beyond minor updates necessary for SEO.
• Management of any other digital marketing activities, such as pay-per-click advertising or social media campaigns.
• Any guarantees regarding specific search engine rankings, lead volumes, or conversion rates.

3. Fees and Payment

3.1 Fee Structure: The Client agrees to pay the agreed-upon monthly fee or pay-per-lead fee as outlined in the Service Agreement.

3.2 Payment Terms: All payments are due on the date specified in the Service Agreement. Failure to make timely payments may result in suspension or termination of the Service.

3.3 Refund Policy: Fees paid for the Service are non-refundable except in cases where we fail to provide the agreed-upon Service. Any refunds will be at the sole discretion of the Provider.

4. Term and Termination

4.1 Term: The initial term of the Service shall be as specified in the Service Agreement. Upon expiration of the initial term, the agreement will automatically renew on a month-to-month basis unless terminated by either party.

4.2 Termination by Client: The Client may terminate the Service by providing written notice at least 30 days before the desired termination date. Any fees due up to the termination date must be paid in full.

4.3 Termination by Provider: We reserve the right to terminate the Service at any time, with or without cause, by providing written notice to the Client. In such cases, any prepaid fees for the remaining period will be refunded to the Client, except where termination is due to a breach of these Terms and Conditions.

4.4 Breach of Terms: If the Client breaches any of these Terms and Conditions, the Provider may terminate the Service immediately without notice. No refunds will be provided in the event of termination due to a breach by the Client.

5. Client Obligations

5.1 Use of Service: The Client agrees to use the Service solely for lawful purposes and in a manner consistent with these Terms and Conditions. The Client must not use the Service in any way that could damage our reputation or affect the operation of our websites.

5.2 Compliance: The Client is responsible for complying with all applicable laws and regulations in the UK and any other jurisdictions relevant to their use of the Service.

5.3 Provision of Information: The Client agrees to provide accurate and complete information as requested by the Provider to facilitate the provision of the Service.

6. Provider Obligations

6.1 Service Delivery: The Provider will deliver the Service with reasonable skill and care, in accordance with these Terms and Conditions.

6.2 Website Management: The Provider will manage and optimize the website to maintain or improve its search engine ranking and lead generation capabilities.

7. Limitation of Liability

7.1 No Guarantees: The Provider does not guarantee specific results, search engine rankings, lead volumes, or conversion rates. All such metrics are subject to various factors beyond our control.

7.2 Exclusion of Liability: To the maximum extent permitted by law, the Provider shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to the use or inability to use the Service, even if the Provider has been advised of the possibility of such damages.

7.3 Maximum Liability: The Provider’s maximum aggregate liability under or in connection with these Terms and Conditions shall not exceed the total fees paid by the Client for the Service during the six months preceding the event giving rise to the claim.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Provider, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in any way connected with the Client’s use of the Service or breach of these Terms and Conditions.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of providing the Service, except where disclosure is required by law.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments

The Provider reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective upon posting on our website or notifying the Client in writing. Continued use of the Service after any such changes shall constitute the Client’s consent to the changes.

12. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms and Conditions, along with any Service Agreement, represent the entire agreement between the Provider and the Client concerning the Service and supersede any prior agreements or understandings.

By using our Rank and Rent service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our Service.
